SECURITIES AND EXCHANGE COMMISSION

Before CARK, JONES and GOODRICH, J. J.

Per Curiam.

And now, to wit, March 4, 1942, it appearing to the court that pursuant to the terms of the stay order of this court entered November 19, 1941, the petitioner has notified the respondent by letter dated February 4, 1942, of the intended sale by Public Service Electric and Gas Co. of an issue of $15,000,000 of bonds, more fully described in said letter; and the respondent having moved for a vacation of the stay order entered herein November 19, 1941; and the court having heard the arguments of counsel and being fully advised in the premises;

Now, therefore, on motion of the respondent and with notice to the petitioner,

IT IS HEREBY ORDERED AND DIRECTED that our order of November 19, 1941 is modified so that the proposed issue and sale of securities by Public Service Electric and Gas Company, as described in the letter of the petitioner to the respondent dated February 4, 1942, copy of which is hereto attached, shall be subject to the provisions of the Public Utility Holding Company Act of 1935, in the same manner and to the same extent as if the order entered herein on November 19, 1941 had not been entered.

IT IS FURTHER ORDERED that except as hereinabove provided said order of November 19, 1941 shall remain in full force and effect.
